The Cane Shell Factory
Between 1999 and 2015, Cane Clark LLP -- a Las Vegas law firm -- operated an industrial-scale shell company factory. This platform is a forensic analysis tool that maps the network of 672 SEC-registered entities manufactured through the firm, tracking corporate genealogies, personnel connections, filing patterns, and fraud signals across 6,274 SEC filings.
Data Pipeline
The dataset is built from multiple SEC EDGAR data sources:
- Entity roster -- 672 entities identified through filing agent detection, text scanning, and network expansion across SEC EDGAR submissions
- Filing corpus -- 6,274 filings spanning 16 years, indexed by form type, date, and accession number
- Network graph -- 1,031 nodes and 1,014 edges mapping entity-to-entity and entity-to-person relationships across 3 hop levels
- Individual extraction -- 127 persons identified through signature blocks, officer/director listings, and SGML headers across filing documents
Forensic Signal Detection
43 regex-based detection patterns scan across 6 signal categories to identify forensic indicators:
- Agent signals -- Filing agent identification, shared legal representation patterns
- Address signals -- Shared registered addresses, address recycling between entities
- Firm signals -- Law firm connections, auditor overlap, common service providers
- Person signals -- Nominee directors, shared officers, personnel compartmentalization
- Entity signals -- Name changes, shell conversions, reverse merger sequences
- Fingerprint signals -- EDGARizer software signatures, filing template reuse
Reference Document Analysis
Four categories of reference documents are extracted and cross-referenced across entities:
- Promissory notes -- 1,892 references across 257 entities, indicating convertible debt pipelines
- Shareholders -- 1,512 references across 357 entities, tracking beneficial ownership patterns
- Conversions -- 822 references across 334 entities, documenting note-to-equity conversions
- Opinion letters -- 684 references across 209 entities, tracing legal opinion chains
49 entities matched all four reference categories -- the strongest indicator of participation in the convertible note pipeline.
